Job Description

Job Function:

Represents Quantech on all contractual matters and demonstrates a polished, diplomatic style. Proactively manages all Quantech's contracts and advises the CFO & Owners on all contractual and legal obligations. Government & Commercial Contracts may include but are not limited to: Prime and Sub-Contracts, Teaming Agreements, Non-Disclosure Agreements, Joint Ventures, Verbal Agreements reduced to writing, Memoranda of Agreements/Understanding, Letters of Authorization, Leases, Licenses, Copyright and Trademarks. Provides extensive leadership, experience and judgment to plan and accomplish all job responsibilities to include but not limited to: Contracts Planning, Contracts Execution, Contracts Administration & Maintenance, Contracts Compliance, Contracts Closeout. Ensures consistency and compliance with contractual practices and procedures, company policies, legal requirements and customer specifications. Manages Contracts Staff if applicable.



Responsibilities could include:



  • Responsible for the entire contracts management function of the company and primary focal point to employees, customers and vendors on all contractual matters
  • Develop, issue, review, administer, revise, negotiate, track and closeout all contracts and contractual agreements
  • Lead the development, maintenance and implementation of the company's compliance program


Contracts Planning:



  • Develops and reviews proposals, analyzes proposals for compliance and advises proposal team as necessary
  • Conducts Research on, works with and interprets contractual practices and procedures, company policies, legal requirements and customer specifications
  • Interprets and understands various Federal Governmental laws and regulations
  • Must have solid, working knowledge of Customer Specifications and all Federal Acquisition Regulations (FAR) and FAR Supplements in accordance with our contracts
  • Participate in the development, documentation and implementation of policies and guidelines for Quantech's procurement activities
  • Develop and maintain monitoring tools and metrics to measure contracts compliance
  • Provide periodic process training to EMT and BAMs as required by management
  • Assess and evaluate future process improvements, tools and templates required for the compliance function as well as to improve Quantech's contractual processes


Contract Execution:



  • Prepares, Modifies, Finalizes and Negotiates contracts and administers commercial and Government contracts in accordance with company policies and legal requirements
  • Negotiates terms and conditions including price, delivery, quality and performance requirements
  • Perform document production as required and provide guidance to the Contract Analysts on documentation matters as needed, in cooperation with the Legal Department
  • Provides routine contract advice to business directors and other related functions such as finance, HR and business development


Contract Maintenance/Administration:



  • Administers, extends, tracks, terminates standard and nonstandard commercial contracts
  • Negotiates Contractual Changes and supports Modification Proposals
  • Ensures Conformed Copies of Quantech's contracts are maintained at all times
  • Advises management of contractual rights and obligations; compiles and analyzes data; and maintains historical information
  • Examines performance requirements, and delivery schedules to ensure accuracy and completeness
  • Provides contractual status as required and maintains contractual status on all management information systems (e.g. EPM. RM Office)
  • Proactively responds to all contract inquiries and issues


Contract Compliance:



  • Lead the development, maintenance and implementation of the company's compliance program
  • Ensures contract compliance and works closely with Execution Teams to monitor performance against compliance objectives and provides continual review to ensure that all terms and conditions are met while identifying areas of risk
  • Ensures compliance with Company policies, procedures and controls with regard to areas that are governed by the FAR and contractual requirements


Contract Closeout



  • Leads the contract closeout process and works closely with execution teams and Operations Teams to closeout contracts effectively and in a timely fashion
  • Ensures all compliance issues are met prior to closeout


Manages Contracts Staff:



  • As applicable, supervises and responsible for the activity of entry to mid-level contract professionals in review and preparation of routine contract documents in accordance with corporate policy
  • Responsible for job Performance and Performance Management of all subordinates
  • Trains and develops subordinate contract professionals to assume more complex contract activity

  • In depth, working level understanding and knowledge of statutory and regulatory requirements (e.g. FARs/DFARs)
  • Ability to proactively interpret terms, conditions, compliance and advise leadership as applicable
  • Ability to effectively balance multiple priorities
  • Experience with leading and working with cross-functional teams, including project development and execution
  • Successful track record of completing projects effectively and timely
  • Strong analytical and problem solving capabilities (including exceptional attention to detail), both quantitative and qualitative, to identify issues and to recommend solutions
  • Demonstrated success with managing personnel

Job Requirements

Education Required:

Master's degree preferred. Bachelor's degree is required.



Years of Relevant Experience:

Minimum of 10-15 years of successful experience working with commercial and government contracts.



Security Clearance:

Must be able to obtain and maintain a DoD security clearance.

Work Environment:This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, scanners, filing cabinets and fax machines.

Physical Demands:This is largely a sedentary role mostly sitting; however, some filing may be required. This would require the ability to move files, or boxes with file data, open filing cabinets and bend or stand as necessary, ability to lift up to 40lbs.

Mental Demands: Reading; communicate effectively (verbal and written); maintain emotional control and professionalism.
